Schneider’s Chinese market “Yangmou” behind NVC

The storm of NVC lighting has lasted for two months, and discussions on this incident have not stopped.

The focus of the topic has also been on the relationship between the three major shareholders, Saifu Asia Investment Fund CEO, NVC Lighting Chairman Wu Changjiang and Schneider Electric (China) Investment Co., Ltd.

On May 25, NVC Lighting issued an announcement on the Hong Kong Stock Exchange: Chairman Wu Changjiang resigned from the company's chairman, executive director, CEO and all subordinate companies for personal reasons.

However, afterwards, Wu Changjiang overturned the reason for the resignation of the “personal reasons” in the announcement, and posted a message on Weibo, “By discussion with the board of directors, I was unanimously required to resign from all positions and asked me to evade for a while.”

In hindsight, Wu Changjiang resigned, the most benefited is its third largest shareholder Schneider, the new CEO Zhang Kaipeng, vice president Li Rui and overseas business general manager Li Xinyu are from Schneider. This made Schneider's right to speak in NVC lighting greatly improved, but at the same time, the speculation that Wu Changjiang resigned after the company's internal and external pressures escalated.

It is reported that the board of directors has been very dissatisfied with Wu Changjiang's personalized business style and governance.

At the beginning of this year, Wu Changjiang made a self-proclaimed move to move NVC Lighting Headquarters from Huizhou, Guangdong Province, to the south bank of Chongqing, his hometown. This move caused a lot of controversy on the board of directors.

In terms of management, the board of directors has a lot of words about Wu Jiangjiang's “Jianghu-style” sales network. According to reports, in 2011, NVC Lighting awarded dealers a credit limit of 400 million yuan. This practice of building a dealer relationship network through credit transactions has been criticized by the board of directors.

According to media reports, 312 NVC employees invested a total of 44.55 million yuan directly into Wu Changjiang's stock account, used to purchase NVC lighting stocks issued in Hong Kong; in addition to the profit-exited, there is still about 70 people hold shares through Wu Changjiang, with a total amount of less than 10 million yuan. This act of arresting suspected violations of Hong Kong listed company regulations has also attracted a lot of criticism.

However, due to such an acting style, after the resignation of Wu, NVC dealers and employees spared no effort to support and appeal to Wu Changjiang at the cost of terminating the order and stopping the production.

The reporter called Ms. Yu, vice president of NVC Lighting, and spokesperson Shi Yongjun to inquire about the progress of the situation. Both of them said that they are still on vacation and have not received any exact information.

As of press time, NVC Lighting has reported that it has started to cooperate with dealers and suppliers to propose the establishment of a new brand. It is expected to be launched within 10 days and products will be on the shelves. The new brand is docking with the original NVC staff and hopes to transfer the company's core resources.

In addition, some media disclosed that Saifu and Schneider changed their attitude of welcoming Wu Changjiang's return, and will hold a board of directors on the 25th to decide to stay.

The reporter once called Wu Changjiang to inquire about the company's movements and its whereabouts. The latter said that he was returning to Chongqing. "I can't take care of these things. If the company decides, it will issue an announcement. As for the reasons for resignation, I will finally give you an explanation. ."

Wu Changjiang once admitted that he would not give up NVC easily. From the company's initial creation in 1998, to the current "head card" of the domestic lighting industry, Wu Changjiang's position in NVC lighting is unparalleled. However, as the company gradually introduces capital, its power is constantly being diluted.

During 2006-2008, Safran injected “rescue” into the bottleneck period of NVC Lighting, and eventually surpassed Wu Changjiang with a 36.5% shareholding, becoming the company's largest shareholder.

In 2010, Schneider began to contact with NVC Lighting and reached a cooperation agreement in July 2011. Schneider acquired a 9.2% stake in NVC with HK$1,275 million, becoming the second only to Saifu (shared 18.48%) and Wu Changjiang. The third largest shareholder (holding 18.41%).

On September 13, last year, NVC Lighting and Schneider officially launched a cooperation strategy in Beijing. According to the cooperation agreement, NVC will grant Schneider and its affiliates access, share and use the company's sales network for a period of 10 years. This provides great convenience for Schneider to promote and sell its products in China.

In March of this year, Schneider also collected the entire income of Chongqing Enlin Electric Co., Ltd., which was established by several natural persons such as Wu Changjiang in Wanzhou, to build a production base in the southwest region. Enlin Electric is 40% owned by Wu Changjiang and has a relationship with NVC Lighting. Its business scope covers the production and sale of electrical products, intelligent lighting, low-voltage electrical appliances, exhaust fans, Yuba, and line wiring.

According to industry analysts, through the above cooperation, Schneider has opened up a shortcut to quickly enter the market and achieved a double harvest of sales channels and production bases.

Wu Changjiang once said that Schneider’s initiative to invite cooperation was mainly to take advantage of the channel advantages of NVC Lighting. He hoped to further penetrate the domestic market through NVC’s nearly 3,000 channel stores. For NVC Lighting, this cooperation is also of great significance. Or it will expand the business landscape of NVC Lighting in the engineering field, while broadening the overseas market.

Whether this win-win situation can be achieved remains to be seen. However, it is reported that Schneider is gradually expanding its territory with the help of NVC lighting channels. In the franchise store of NVC Lighting, the products bearing the Schneider trademark have already been put on the shelves.

This time, the resignation of the chairman of NVC and a series of personnel changes, so that more questions point to Schneider: Schneider seems to be not only the channel value of NVC, but also hidden behind the desire to annex NVC .

The reporter called Schneider China's public relations director Wu Jianghong to inquire about Schneider's intention and attitude towards NVC lighting. The latter said that for the NVC lighting problem, the company's president Zhu Hai and her own are not currently interviewed.

However, looking at the development of Schneider in China in recent years, it is not difficult to see its ambiguity and plot for domestic high-quality enterprises.

Since 1994, Schneider has repeatedly submitted an acquisition to Chint Group, one of the country's largest manufacturers of low-voltage electrical appliances, but they have all been rejected. This has caused Schneider to repeatedly file intellectual property lawsuits against Chint, and both sides have been involved in lawsuits. Nan Cunhui, chairman of Chint Group, publicly stated his reasons for refusing to be acquired: Schneider’s crazy mergers and acquisitions in China, and the original brand of Chinese companies may be abandoned in the future.

In 1995, Schneider began to find a partner in Shanghai. In the following year, he successively established Shanghai Schneider Power Distribution Co., Ltd. with Shanghai People's Electric Appliance Factory and Shanghai Schneider Industrial Control Co., Ltd. with Shanghai Machine Tool Electric Appliance Factory. At that time, Shanghai was one of the largest low-voltage electrical industry bases in the country, and the two factories were infinitely beautiful in the local area.

At that time, Shanghai Machine Tool Electric Appliance Factory was the leading enterprise of machine tool electrical appliances in the country, with an annual output value of nearly 100 million yuan, annual gross profit margin of more than 20%, and more than 1,400 workers. However, the cooperation with Schneider has become a turning point in its transition from prosperity to decline.
